2. Purpose

Twily provides a back-office for e-commerce shops and dropshipping operated from Morocco: formation of a Wyoming (United States) limited liability company (LLC), preparation of the EIN file, guidance on opening a US bank account, payout classification, a brochure website, and, depending on the package, ads management, Twily Bot, and a shop SaaS.

Twily is not a law firm, a licensed expert-comptable, or an immigration adviser. Twily does not guarantee approval by Stripe, PayPal, Shopify Payments, a US bank, or the US tax authority.

3. Packages and prices

Public prices are stated in Moroccan dirhams exclusive of tax (MAD HT). Tax treatment is pending review. No tax line is added to the public price.

• Recommended : 6,490 MAD HT
• Complete : 11,900 MAD HT
• Shop SaaS : 19,900 MAD HT

The Wyoming formation fee (Articles of Organization filing) is included in each package price.

4. Services included in every package

Unless the package provides otherwise, each order includes:

• filing of Wyoming Articles of Organization, with the Wyoming formation fee included;
• the EIN file (Form SS-4), outside the one-day deadline;
• an operating-agreement template;
• the registered agent for the first year;
• a US bank-account guide (Wise or Payoneer; Mercury is not guaranteed);
• the Stripe, PayPal, and Shopify Payments onboarding path, with approval remaining that of the platform;
• 12 months of payout and receipt classification (lite bookkeeping), then 2,900 MAD HT per year if renewed;
• a Form 5472 packet, which is not tax advice;
• a brochure website, included from the Essential package and in every package.

5. Brochure website and Shop SaaS

A brochure website is included in every package, from Essential onwards. The Complete package remains a brochure website. The Shop SaaS package adds a shop (catalog, Stripe checkout, orders, supplier notes) for e-commerce and dropshipping; it is not generic software.

6. Ads management

The Complete and Shop SaaS packages include 90 days of ads management*. Media budget (purchase of placements, impressions, or clicks from the platforms) is paid by the Client; it is not invoiced by Twily.

* During those 90 days, Twily creates or manages a maximum of ten (10) campaigns.

The Essential and Recommended packages do not include ads management.

7. Twily Bot

Twily Bot is included from the Recommended package. The term starts at confirmation of package payment:

• Recommended: three (3) months;
• Complete: six (6) months;
• Shop SaaS: twelve (12) months.

The Essential package does not include Twily Bot. Twily Bot is made available in the Client’s dashboard.

Twily Bot may operate, according to the Client’s need, as an internal accountant, an internal manager, or an internal operations agent. It is not a licensed expert-comptable, lawyer, or immigration adviser.

8. Order, payment, and intake

The contract is formed on the site, by acceptance of these terms and payment of the package. Payment precedes intake: the Client pays the package first, then completes the forms (LLC name, members, identity document) in the dashboard. Identity documents are not required before payment.

Payment is by wire transfer, according to the instructions issued after the order. A non-fiscal receipt is issued after the wire is confirmed. The order is not paid until Twily has confirmed receipt of funds.

9. Support

WhatsApp (+212 723 843 444) is a support channel. It is not checkout: the order and payment are made exclusively on the site. WhatsApp support is not used to conclude the contract, to receive payment, or to deposit identity documents.

10. Wyoming filing deadlines

Recommended, Complete, and Shop SaaS packages: Twily files Wyoming Articles of Organization by the close of the Wyoming Secretary of State business day following confirmation of package payment. Wyoming weekends and public holidays are excluded. If the file (intake, legible identity document, name) is not ready, the deadline is paused. EIN, banking, the operating agreement, and payment-platform approval are outside this deadline.

Essential package: filing is targeted within five (5) to ten (10) days after a complete file. This package does not open the one-day clock.

11. Credit and refund

If the one-day clock is missed while it is running, an automatic credit of 1,000 MAD HT is applied. This credit does not apply if the clock is paused, not started, or already closed, nor to the Essential package.

A full package refund is granted only for a filing error attributable to Twily, after internal review by a manager. Delay attributable to the Client (incomplete intake, illegible document, inaccurate information) does not give rise to a package refund.

These mechanisms are not a guarantee of defect-free formation, nor a general right of withdrawal after performance has begun.

12. Client obligations

The Client provides accurate information, a legible identity document, and cooperates with dashboard steps. The Client remains responsible for advertising accounts, media budget, payment-platform approval, and compliance of the Client’s activity with applicable law.

13. Liability

Twily applies reasonable professional care to perform the subscribed package. Twily is not liable for refusals, delays, or requirements of the IRS, the Secretary of State, banks, or payment platforms, nor for the consequences of inaccurate information supplied by the Client.

14. Personal data

Processing of personal data, including identity documents collected after payment, is described on the Privacy page. Documents are deposited in the dashboard, not on WhatsApp.

15. Governing law and language

These terms are governed by Moroccan law. Any dispute falls under the courts of Casablanca, subject to applicable public-policy rules. If language versions diverge, the French version prevails.
